1. ACCEPTANCE OF TERMS

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and UNIMEDSOFT INC (“Company,” “we,” “us,” or “our”) governing your access to and use of the website SXNow.com and all related services (collectively, the “Service”).

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.

We may modify these Terms at any time by posting the revised Terms on our website. Your continued use of the Service after any changes constitutes your acceptance of the updated Terms.

2. DESCRIPTION OF SERVICE

SXNow.com is a platform that connects you with Ola Digital Health (“Telehealth Provider”), an independent telehealth company that facilitates telehealth consultations with licensed healthcare providers (“Providers”), prescription services, and related healthcare services.

Our Website contains integrated forms and questionnaires provided and operated by the Telehealth Provider. When you submit information through these integrated forms, that information is collected and processed directly by the Telehealth Provider—not by us.

WE DO NOT PROVIDE MEDICAL SERVICES. We do not provide medical advice, diagnoses, treatment, or prescriptions. We do not practice medicine. All healthcare services are provided solely by the Telehealth Provider and its network of independent, licensed healthcare professionals.

We do not process payments. All payment transactions for healthcare services, products, or prescriptions are handled directly by the Telehealth Provider or its payment processors.

3. ELIGIBILITY

To use the Service, you must:

• Be at least 18 years of age
• Be a legal resident of the United States
• Be located in a state where the Telehealth Provider’s services are available
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under any applicable law

By using the Service, you represent and warrant that you meet all eligibility requirements. If you do not meet these requirements, you must not access or use the Service.

4. TELEHEALTH SERVICES AND PROVIDER RELATIONSHIP

4.1 Independent Providers

The Providers who deliver healthcare services through the Telehealth Provider’s platform are independent, licensed healthcare professionals. They are not employees, agents, or representatives of UNIMEDSOFT INC. The Providers exercise independent medical judgment in providing care.

4.2 Your Relationship

When you access telehealth services through the integrated forms on our Website, your relationship for healthcare services is directly with the Telehealth Provider and its Providers—not with us. The Telehealth Provider is solely responsible for:

• Medical consultations and telehealth services
• Medical decisions, diagnoses, and treatment plans
• Prescription issuance and pharmacy coordination
• Payment processing and billing
• Compliance with healthcare laws and regulations
• Privacy and security of your health information

4.3 Nature of Telehealth

Telehealth involves the delivery of healthcare services using electronic communications between a healthcare provider and a patient who are not in the same physical location. Telehealth may be used for diagnosis, treatment, follow-up, and patient education. You understand that:

• Telehealth is not appropriate for all medical conditions
• A Provider may determine that your condition is not suitable for telehealth treatment
• You may need to seek in-person medical care
• Technical difficulties may interfere with telehealth services

4.4 No Emergency Services

THE SERVICE IS NOT INTENDED FOR MEDICAL EMERGENCIES. IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CALL 911 OR GO TO YOUR NEAREST EMERGENCY ROOM IMMEDIATELY. DO NOT RELY ON THE SERVICE FOR EMERGENCY MEDICAL NEEDS.

5. USER RESPONSIBILITIES

By using the Service, you agree to:

• Provide accurate, truthful, and complete information
• Not provide false or misleading information about your identity or health
• Not use the Service for any unlawful purpose
• Not attempt to gain unauthorized access to the Service or related systems
• Not interfere with or disrupt the Service
• Not use automated systems to access the Service without permission
• Not transmit viruses, malware, or other harmful code
• Comply with all applicable laws and regulations

You understand that healthcare professionals can only be effective when they have accurate, current information. Providing false or misleading information may result in inappropriate treatment recommendations and may be grounds for termination of your access to the Service.

6. INTEGRATED FORMS AND DATA COLLECTION

Our Website contains integrated forms and questionnaires provided by the Telehealth Provider (Ola Digital Health). When you complete these forms:

• The information you submit is collected directly by the Telehealth Provider
• The Telehealth Provider’s privacy policy and Notice of Privacy Practices govern the use of your health information
• We maintain a Business Associate Agreement with the Telehealth Provider for the handling of Protected Health Information in accordance with HIPAA

We encourage you to review the Telehealth Provider’s terms of service and privacy practices before submitting any information through the integrated forms.

7. PRESCRIPTION MEDICATIONS

7.1 Prescription Process

If a Provider determines that prescription medication is appropriate for you, the Provider may issue a prescription through the Telehealth Provider’s platform. The issuance of any prescription is at the sole discretion of the Provider based on their independent medical judgment. We have no role in prescription decisions.

7.2 Compounded Medications

Some medications available through the Telehealth Provider may be compounded medications. Compounded medications are prepared by licensed pharmacies to meet individual patient needs. Compounded medications are not FDA-approved and do not undergo FDA review for safety, effectiveness, or manufacturing quality.

7.3 Medication Safety

If you receive prescription medications through the Telehealth Provider, you agree to:

• Read and follow all medication instructions and warnings
• Inform your Provider of all medications you are taking
• Report any side effects or adverse reactions promptly
• Not share your medications with others

Certain medications may have serious side effects. Please review all safety information provided by the Telehealth Provider and your pharmacy.

8. PRIVACY

Your privacy is important to us. Our collection, use, and disclosure of information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices.

Information you submit through the integrated telehealth forms is collected by the Telehealth Provider and is governed by their privacy policy and Notice of Privacy Practices.

9. INTELLECTUAL PROPERTY

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, images, software, and the overall design and arrangement (“Content”), are owned by UNIMEDSOFT INC or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not:

• Reproduce, distribute, modify, or create derivative works of the Content
• Publicly display or perform the Content
• Republish, download, store, or transmit the Content
• Use any data mining, robots, or similar data gathering methods
• Remove any copyright or proprietary notices

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes in accordance with these Terms.

10. DISCLAIMERS

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• The Service will be uninterrupted, error-free, or secure
• The results obtained from the Service will be accurate or reliable
• Any errors in the Service will be corrected
• The Service will meet your requirements

WE DO NOT PROVIDE MEDICAL SERVICES AND MAKE NO WARRANTIES REGARDING:

• The quality of healthcare services provided by the Telehealth Provider or its Providers
• Medical outcomes or the effectiveness of any treatment
• The accuracy of any medical advice or information
• The availability of any medications or prescriptions

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. WE ARE NOT RESPONSIBLE FOR ANY MEDICAL DECISIONS MADE BY THE TELEHEALTH PROVIDER OR ITS PROVIDERS.

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNIMEDSOFT INC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• ANY DAMAGES RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE
• ANY DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO YOUR INFORMATION
• ANY DAMAGES RESULTING FROM THE CONDUCT OF ANY THIRD PARTY, INCLUDING THE TELEHEALTH PROVIDER OR ITS PROVIDERS

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED ONE HUNDRED DOLLARS ($100.00).

WE ARE NOT LIABLE FOR ANY ACTS OR OMISSIONS OF THE TELEHEALTH PROVIDER, ITS PROVIDERS, PHARMACIES, OR ANY OTHER THIRD PARTY. YOUR SOLE REMEDY FOR ANY ISSUES WITH HEALTHCARE SERVICES IS WITH THE TELEHEALTH PROVIDER DIRECTLY.

SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR EXCLUSION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless UNIMEDSOFT INC and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Service
• Your violation of any rights of a third party
• Your violation of any applicable law or regulation
• Any information you provide through the Service

13. DISPUTE RESOLUTION AND ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

13.1 Informal Resolution

Before filing any claim, you agree to first contact us at Info@sxnow.com and attempt to resolve the dispute informally for at least 30 days.

13.2 Binding Arbitration

If we cannot resolve a dispute informally, you and UNIMEDSOFT INC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration, rather than in court, except that either party may seek injunctive or equitable relief in court for intellectual property infringement.

The arbitration shall be conducted by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration shall take place in the state where you reside or another mutually agreed location. The arbitrator’s decision shall be final and binding.

13.3 Class Action Waiver

YOU AND UNIMEDSOFT INC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

13.4 Opt-Out

You may opt out of this arbitration agreement by sending written notice to Info@sxnow.com within 30 days of first using the Service. Your notice must include your name, address, and a clear statement that you wish to opt out of this arbitration agreement.

14. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

15. TERMINATION

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination:

• Your right to use the Service will immediately cease
• All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, arbitration, and limitations of liability

Termination of your access to our Service does not affect your relationship with the Telehealth Provider. Any ongoing healthcare services or prescriptions are between you and the Telehealth Provider.

16. THIRD-PARTY SERVICES

The Service may contain links to third-party websites or services, including the Telehealth Provider’s platform. We are not responsible for the content, terms, or privacy practices of any third-party services.

Your use of the Telehealth Provider’s services is governed by their terms of service and privacy policy. We encourage you to review those terms before using their services.

17. SEVERABILITY

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent.

18. WAIVER

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by us.

19. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between you and UNIMEDSOFT INC regarding the Service and supersede all prior agreements and understandings.
